Terms of Use and User Agreement

1 Acceptance and Agreement

By using the Murshid app ("App") or accessing any associated web properties, APIs, and portals operated by FES HealthTech ("Company", "we", or "us"), you fully agree to these terms and conditions. If you do not agree to any of these terms, please stop using the app and services immediately.

To use the app, you must be:

• At least 18 years of age
• A qualified dietitian, nutritionist, or authorized health professional
• Using the app for legitimate professional and administrative purposes

Export Control & Sanctions Compliance

You represent and warrant that: (i) you are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive government trade sanctions or embargoes; and (ii) you are not listed on, nor owned or controlled by any entity listed on, any denied parties or sanctions lists maintained by the United Nations, the United States, the European Union, or applicable local governmental bodies. You agree not to access or use the App in violation of any applicable export control or economic sanctions laws.

2 Account and Registration Data

Your Murshid account is personal and non-transferable to any other party. You are solely responsible for:

• The confidentiality of your login credentials and not sharing them with anyone else
• All activities that occur under your account, whether authorized by you or not
• Notifying us immediately of any suspected unauthorized access via email: legal@feshealthtech.com
• The accuracy and correctness of the data you enter upon registration

FES HealthTech does not store or have access to your actual passwords. We utilize secure, industry-standard third-party authentication services (such as Google and Apple Sign-In) which securely retrieve your email, display name, and profile picture URL to build your secure credential profile. We are committed to applying the highest security standards to protect your account profile and data in accordance with our Privacy Policy. We do not utilize your profile picture or display name for clinical or marketing purposes, keeping them strictly within the authentication layer.

3 License of Use

FES HealthTech grants you a limited, non-exclusive, non-transferable license to use the Murshid app for personal professional purposes only. This license is conditional upon your full compliance with these terms.

The following activities are explicitly prohibited:

• Reselling, licensing, or redistributing the app to third parties in any form
• Modifying, hacking, decrypting, or reverse-engineering any part of the app
• Creating derivative or branched apps from the app or any of its components
• Using the app for collective commercial purposes without a special enterprise agreement signed with FES HealthTech
• Attempting to access restricted areas of servers or databases
• Removing or altering any intellectual property notices contained within the app

Internet Connectivity & Offline Grace Period

To ensure maximum security, verify the integrity of your subscription status, and safeguard your data by synchronizing it with our secure cloud servers, the Murshid App requires an active internet connection periodically.

• Offline Mode Privilege: We understand the dynamic nature of clinical environments. Therefore, you are granted a "Grace Period" allowing you to use the core features of the App completely offline for up to 45 consecutive days.
• Mandatory Synchronization (Security Lock): If the App remains disconnected from the internet for a continuous period exceeding 45 days, the user interface will be temporarily locked. This is a mandatory security measure to prevent unauthorized access, ensure data integrity, and validate subscription entitlements.
• Restoration of Service: The lock is temporary and strictly protective. Full access will be instantly restored without data loss the moment a secure internet connection is re-established and the App completes its synchronization protocol.

4 Dual Wallet System

The app operates on a dual wallet system consisting of two types of points, each with different usage rules and conditions:

🔵 Blue Points

• Completely free and earned by watching ads and daily in-app rewards
• Designated for local operations only, such as adding patients, performing metabolic calculations, and exporting PDF reports
• Non-transferable to other accounts or refundable for cash in any form
• May automatically expire 90 days after discontinued use
• Are equivalent in value to local operation units and are not a currency with monetary value

🟡 Gold Points

• Designated for cloud-powered services, including smart clinical data extraction (OCR), AI-assisted analysis, and web hosting infrastructure for Specialist Public Bio-Sites.
• Can be acquired through a subscription plan (PRO), purchased as direct one-time packages via app stores, or earned through authorized promotional rewards and official referral milestones.
• Subscription Quota Points: Users subscribed to the "Murshid Pro" plan receive a monthly recurring quota of 500 Gold Points. These points are valid only during the active subscription billing cycle. They do not accumulate or roll over to subsequent billing cycles; any unused subscription quota points are reset and replaced with the new cycle's quota.
• Expiration & Cancellation: If a subscription expires, is canceled, or fails to renew, any unconsumed points granted under the subscription quota are immediately forfeited.
• Permanent Points: Points earned through promotional actions, direct one-time package purchases, or authorized bonus programs remain valid for twelve (12) months from the acquisition date and are not revoked upon subscription cancellation.
• Bio-Site Hosting & Domain Renewal Consumption: Publishing, routing, and maintaining a live Specialist Bio-Site on the web may consume Gold Points periodically. If a specialist enables auto-renewal for their public site, points will be deducted automatically from their available balance upon the renewal date. If the specialist has insufficient Gold Points, the public site may be unrouted or deactivated until points are replenished.
• Consumed points represent completed computational or infrastructure hosting services and are non-refundable after consumption.
• Gold Points are functional virtual utility units within the Murshid ecosystem; they are not legal tender, virtual currencies, or financial assets and cannot be redeemed for cash.

In-App Purchases & Auto-Renewing Subscriptions (Apple App Store & Google Play)

If you purchase a subscription (e.g., "Murshid Pro") or one-time Gold Points packages through the Apple App Store or Google Play Store, the transaction is processed directly by the respective platform operator in accordance with their terms of service:

• Billing & Payment: Payment will be charged to your Apple ID / iTunes Account or Google Play Account upon confirmation of purchase.
• Automatic Renewal: Subscriptions automatically renew for the same duration and price unless auto-renewal is canceled at least twenty-four (24) hours before the end of the current billing cycle.
• Renewal Charges: Your account will be charged for renewal within twenty-four (24) hours prior to the conclusion of the current subscription period at the agreed standard rate.
• Managing Subscriptions: You can manage or cancel your auto-renewing subscription at any time by accessing your Apple ID Account Settings (on iOS) or Google Play Subscriptions Center (on Android) after purchase.
• Refunds: All refund requests for purchases completed via Apple App Store or Google Play are governed by Apple's and Google's respective refund policies and must be initiated directly through the store interface. For non-store transactions and general refund terms, please consult our official Refund Policy.

Doctor Peer Referral, Affiliate & Voucher Program Governance

Murshid may offer registered practitioners the opportunity to invite healthcare colleagues via unique referral codes, earn promotional credits, and claim peer subscription vouchers. Participation in referral and affiliate mechanisms is governed by strict compliance standards:

• Professional Peer Scope & Anti-Spam Prohibition: Referral invitations and codes are intended strictly for direct, bona fide professional communications between practicing colleagues. You are strictly prohibited from distributing referral links or codes via automated bots, bulk unsolicited electronic messages (SPAM), social media link farming, or posting on public coupon/discount aggregator sites.
• Paid Search & Trademark Protection: You may not bid on or purchase search engine keywords, pay-per-click (PPC) advertisements, or domain names incorporating "Murshid", "FES HealthTech", or any confusingly similar variations to distribute referral codes.
• Zero Cash Value: Referral bonuses, holding credits, gold points, and peer vouchers have no monetary cash value, do not accrue interest, are not deposit liabilities, and cannot under any circumstances be redeemed, traded, or exchanged for fiat currency or transferred outside the Murshid platform.
• Holding Period & Fraud Audit: Referral rewards and monthly Pro activation credits are subject to a mandatory holding and safety verification period (e.g., fourteen (14) days) to verify legitimate activation and account standing. FES HealthTech reserves the absolute right to audit referral activity, freeze, revoke, or forfeit any credits obtained through self-referrals, reciprocal fake accounts, emulator manipulation, or fraudulent sign-ups, and terminate affiliate privileges without liability.

5 Acceptable and Unacceptable Use

✅ Acceptable Use

• Managing real patients with sincere professional intent according to the ethical standards of the profession
• Using smart extraction tools (OCR) and local calculation engines to facilitate the professional dietitian's work
• Exporting customized reports as PDF files to share with patients within a legitimate, consent-based professional relationship
• Backing up clinic data for the purpose of maintaining patient records
• Customizing app settings and visual identity to match the clinic's workflow
• Using the Patient Follow-up Web Form feature to collect clinical data securely from patients, subject to acquiring necessary clinical and legal consents

🚫 Prohibited Use

• Attempting to hack or manipulate the points system, databases, or servers in any way
• Using the app for unprofessional purposes, fraudulent commercial gain, or misleading patients
• Sharing patient data with unauthorized parties in violation of data privacy laws
• Creating fake accounts or entering fake patient data to manipulate points
• Using automation tools (bots) or scripts to consume points, scrape data, or artificially view ads
• Attempting to bypass the ad system or access Pro features without proper payment
• Manipulating, altering, or spoofing the device's date and time settings (Time Manipulation) to bypass the offline grace period, evade subscription renewals, or deceive the App's security verification systems
• Uploading harmful content, viruses, or malware via app features
• Attempting to intercept, manipulate, or bypass the end-to-end encryption of the patient web form, or using modified versions of the form page to collect unencrypted patient data

Violating any of these clauses may prompt the actions mentioned in Section 9 of these terms.

6 Clinical, AI Governance, and Accounting Disclaimer

The Murshid app, with all its calculation engines (including macronutrient estimators, predictive metabolic energy equations, and pediatric Z-Score growth percentiles) and automated data extraction tools (Cloud OCR powered by Google Gemini AI), is strictly an auxiliary administrative and computational software toolkit designed for qualified healthcare professionals. It does NOT constitute, replace, or supersede the clinical, therapeutic, or diagnostic judgment of a licensed practitioner.

Clinical Disclaimers & Professional Boundaries

You explicitly acknowledge, warrant, and agree to the following as an essential condition of using the app:

• All nutritional, therapeutic, dietary, and financial recommendations remain your exclusive clinical and professional liability as an independent licensed professional; FES HealthTech assumes zero liability for any patient outcomes.
• Outputs generated by the calculation engines and OCR tools do NOT constitute medical diagnosis, clinical prescriptions, or automated consultations.
• The Murshid app is not certified, cleared, or registered as a medical device (Software as a Medical Device - SaMD) by any regional or international health authority.
• FES HealthTech is not liable for any physical harm, health complications, legal claims, or tax penalties resulting from unverified reliance on calculations, algorithmic estimates, or OCR extractions.
• The dietitian must independently verify, validate, and corroborate all calculations and customized PDF reports with clinical references and direct patient observations before issuing them.
• Local electronic invoice and tax receipt generation (including ZATCA simplified tax invoices and VAT compliance) relies exclusively on user-entered parameters, and FES HealthTech bears zero accounting, fiscal, or audit liability before government authorities.
• Access to and use of clinical features is restricted to qualified health and dietetic professionals possessing active credentials.

Medical Malpractice & Professional Indemnity Disclaimer

FES HealthTech is a software technology provider and does NOT provide healthcare services, practice medicine, or act as an insurer or indemnitor of your professional practice. You represent and warrant that you maintain adequate professional liability and medical malpractice insurance coverage as mandated by statutory authorities in your practicing jurisdiction. FES HealthTech disclaims any and all liability for clinical malpractice, therapeutic failure, diagnostic errors, adverse drug-nutrient reactions, dietary complications, or any patient injury or harm resulting from your clinical decisions or professional practice.

Pediatric Growth Percentiles & Z-Score Calculations

The pediatric growth calculators and Z-Score percentiles provided within the App represent purely mathematical renderings of published World Health Organization (WHO) and CDC reference tables. They do NOT evaluate individual pediatric health status, organic diseases, genetic variations, or clinical growth retardation. The treating specialist must perform comprehensive in-person pediatric evaluations and clinical laboratory investigations before formulating nutritional interventions for infants and children.

Food Composition Databases, USDA Data, and Complete Absence of Automated Allergen Screening

The nutritional information, caloric values, macronutrients, micronutrient radar indexes, and food catalogs provided within the App are compiled from public and proprietary nutritional reference databases, including the United States Department of Agriculture (USDA) FoodData Central and regional nutritional tables. You explicitly acknowledge, understand, and agree that:

• Nutritional Composition Variances: Nutritional data represents average analytical approximations. Actual nutritional values in foods vary substantially due to agricultural origin, soil conditions, seasonality, preparation/cooking techniques, culinary processing, and commercial recipe reformulations by food manufacturers.
• COMPLETE ABSENCE OF AUTOMATED ALLERGEN SCREENING & WARNINGS: The App does NOT feature, incorporate, or execute any automated allergen screening, ingredient decomposition, cross-contact detection, or allergy alert algorithms. Food cards and database items do NOT display allergen profiles. Any food allergies, intolerances, or clinical sensitivities documented within a patient's CRM profile or intake form represent purely passive, static, descriptive records intended solely for the practitioner's manual clinical note-taking. The App NEVER programmatically cross-references, matches, filters, or blocks allergen-containing foods against patient meal plans or dietary prescriptions. The healthcare practitioner bears 100% exclusive, non-delegable clinical and legal responsibility for manually screening every dietary item, recipe ingredient, and commercial food product against the patient's diagnosed allergies prior to approving any meal plan. FES HealthTech disclaims any and all liability for allergic reactions, anaphylactic shock, celiac gluten exposure, foodborne complications, hospitalization, or patient harm resulting from food allergies.

Digital Pharmacy Catalog & Complete Absence of Automated Drug-Nutrient Cross-Checking

The digital pharmacy catalog within Murshid is strictly an exploratory reference directory of pharmaceutical products, active ingredients, and therapeutic classifications compiled from public clinical pharmacology literature. You explicitly acknowledge, understand, and agree that:

• No Substitute for Official SmPC or Prescribing Information: The App does not replace, alter, or supersede official manufacturer package inserts, the Summary of Product Characteristics (SmPC), or the clinical judgment of licensed prescribing physicians and clinical pharmacists.
• COMPLETE ABSENCE OF AUTOMATED DRUG-NUTRIENT INTERACTION SCREENING: The App does NOT possess, feature, or execute any algorithmic engine for detecting, calculating, screening, or alerting against food-drug interactions, drug-nutrient depletions, or pharmacological contraindications between patient prescriptions and meal plans. The App NEVER programmatically cross-references medications recorded in a patient's file against foods, supplements, or dietary guidelines. The practitioner is solely and exclusively responsible for independently investigating and verifying all potential food-drug interactions, contraindications, and nutrient-drug kinetics using official pharmacopeias, manufacturer package inserts, or licensed clinical pharmacists. FES HealthTech disclaims all liability for adverse drug events, unexpected pharmacological interactions, therapeutic failures, or contraindicated food-drug combinations.

Clinical Energy Equations, Metabolic Formulas & Special Populations

Murshid provides predictive metabolic energy equations (e.g., Mifflin-St Jeor, Harris-Benedict, Katch-McArdle, WHO/FAO/UNU, Cunningham, Schofield, Oxford, and DRI/EER) and specialized physiological modules (including amputee ideal body weight corrections, gestational pregnancy trimester additions, lactation caloric allowances, post-bariatric surgery protocols, and InBody/DEXA body composition estimators). You explicitly acknowledge that:

• Theoretical Mathematical Approximations: All energy expenditure equations and body composition formulas are mathematical estimates derived from statistical population samples. They do not measure actual individual metabolic rates or substitute for direct indirect calorimetry, metabolic cart measurements, or comprehensive clinical assessments.
• Pathological & Metabolic Instability: Equations do not account for acute metabolic stress, sepsis, severe trauma, active endocrine pathologies, or renal/hepatic failure. The clinical dietitian bears exclusive responsibility for tailoring caloric and macronutrient targets to each patient's actual clinical status and laboratory profile.

Laboratory Reference Ranges & Diagnostic Assay Variability

Default laboratory test definitions, biological reference intervals (normal min/max ranges), unit conversion ratios (e.g., mg/dL vs. mmol/L), and out-of-range graphical flags displayed in the Digital Lab tab are generalized baseline reference values. Diagnostic reference intervals vary widely across clinical diagnostic laboratories based on assay methodologies, instrumentation, reagent manufacturers, calibration standards, and patient demographic cohorts. The healthcare practitioner is strictly required to verify, calibrate, and adjust laboratory reference intervals within the App to match the specific, official laboratory report issued for the patient.

Appointment Scheduling, Calendar & Notification Delivery Limitations

The appointment management, session scheduling, and re-engagement tools in Murshid are local workflow utilities. Scheduled appointment reminders and patient follow-up alerts are generated locally on your device. FES HealthTech exercises no control over and disclaims any and all liability for: missed appointments, patient no-shows, schedule conflicts, or notification delivery failures resulting from device operating system power-saving modes (e.g., Android Doze Mode, battery optimization), silent/do-not-disturb profiles, or device termination of background alarm services.

Locally Generated Clinical PDFs, Diet Plans & Tax Documents

All clinical meal plans, session reports, assessment summaries, digital business cards, and electronic receipts or tax invoices rendered by the App are assembled locally on your device via client-side PDF rendering engines. You are strictly and independently obligated to thoroughly inspect, review, and verify all exported PDF documents — including dietary instructions, clinical notes, practitioner credentials, patient identifiers, prices, VAT rates, and invoice numbers — prior to printing or transmitting them to patients or third parties via messaging applications or email. FES HealthTech bears zero responsibility or liability for typographical errors, clinical omissions, fiscal inaccuracies, or interception of exported files transmitted over external communication channels.

AI Governance & Mandatory Human-in-the-Loop (HITL) Obligation

Patient Web Form Feature, Decryption, & Data Control

• Role of the Dietitian as Data Controller: Under global and regional data protection frameworks (such as GDPR, CCPA, and Saudi PDPL), you (the registered dietitian) act as the sole "Data Controller" of patient records. FES HealthTech maintains a Zero-Knowledge Architecture with zero access to decryption keys or patient health data. You are solely responsible for local decryption, secure storage, and regulatory retention.
• Verification of Imported Patient Data: The dietitian must independently inspect and verify all self-reported data submitted by patients via the encrypted web form (such as weight, medical history, food allergies, and symptoms) prior to incorporating it into clinical workflows.
• Third-Party Communication Channels: Transmission of the encrypted .mrshed file occurs out-of-band via third-party communication tools (such as WhatsApp, direct messenger, or email). FES HealthTech exercises no control over and disclaims liability for security, delivery, or interception during transmission over third-party channels.
• Protection of Minors: You warrant that you will secure all legally mandated parental or guardian consents prior to dispatching encrypted follow-up links to any patient who has not reached the legal age of majority in your jurisdiction.
• Specialist Clinical Privacy Notice Obligation: Prior to transmitting the Patient Follow-up Web Form link or collecting any health records from a patient, you are legally and ethically obligated to furnish the patient with your independent practice's privacy notice and obtain their informed, unambiguous consent for clinical data collection. FES HealthTech has zero role in obtaining patient consents on your behalf.
• API Security & Route Integrity: Cloud OCR requests are proxied via FES HealthTech's secure Firebase Cloud Functions. You agree not to intercept, probe, reverse-engineer, or spoof API endpoints, nor attempt to extract authentication tokens or credentials.

7 Intellectual Property and Data Scraping Ban

All elements of the app are protected under international intellectual property and commercial laws. The rights are distributed as follows:

Regarding user content: your patients' data and their local records remain solely your property. FES HealthTech claims no ownership rights over them. Furthermore, it is explicitly prohibited for any user or third party to scrape food data (Data Scraping) or reverse engineer the app, under penalty of international judicial liability.

Feedback, Ideas & Unconditional License

If you submit, transmit, or communicate any suggestions, feature ideas, nutritional formula proposals, clinical dictionary expansions, feedback, or defect reports to FES HealthTech (via email, customer support, or user surveys), you hereby irrevocably assign and grant FES HealthTech an exclusive, perpetual, royalty-free, worldwide, transferable, and sublicensable right and license to use, implement, modify, commercialize, and incorporate such feedback into the App and any current or future products or services without restriction, attribution, compensation, or accounting to you.

8 Third-Party Services

The app relies on trusted third-party services to provide its core functionalities. Below is a list of these services and their purposes:

• Firebase (Google): Authentication, gold points management, and subscription state
• Google Gemini AI (OCR API): Real-time image processing to extract lab tests and medication texts
• Google AdMob: Advertising network to generate free blue points
• Google Drive API: Optional backup of encrypted clinic data
• Google Play / Apple App Store: Processing payments and subscriptions

FES HealthTech is not responsible for any interruption, change in terms, or permanent cessation of these services. The continued availability of certain app features is conditional upon the availability of these services.

Routine Maintenance and Service Availability

FES HealthTech reserves the right to temporarily suspend cloud features for routine maintenance and security updates. We are committed to making our best effort to minimize downtime, and planned maintenance periods do not constitute a breach of service nor warrant any financial compensation.

Mandatory App Updates

FES HealthTech reserves the right to enforce mandatory app updates (Forced Updates) to ensure the accuracy of clinical calculations, enhance security, and maintain server compatibility. The use of deprecated versions that may contain security vulnerabilities or computational flaws is strictly prohibited. The Company bears no responsibility for any damage resulting from attempting to bypass update requirements or using unsupported versions.

Apple Inc. Third-Party Beneficiary Acknowledgement

If you have downloaded the App from the Apple App Store, you acknowledge and agree that Apple Inc., and Apple's subsidiaries, are third-party beneficiaries of these Terms of Use. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

9 Account Suspension and Termination

FES HealthTech has the right to suspend or terminate your account immediately or following a review in the following cases:

• Violation of any clauses in these terms, especially those relating to prohibited use and the ban on scraping
• Documented suspicion of fraudulent activity or manipulation of the points or ad systems
• Failure to pay due subscriptions after the specified grace period has elapsed
• Receiving credible complaints from patients regarding the misuse of their data
• A request from official legal or regulatory authorities to suspend the account

Upon account termination:

• The license granted to you is immediately revoked, and you are no longer authorized to use the app
• The cloud gold points associated with your account are deleted, and you have no right to claim a refund
• Patient data saved locally on your device remains intact and is unaffected by the account termination
• You may export your data prior to the final confirmation of termination during the grace period

10 Limitations of Liability and Warranties

The app is provided "AS IS" and "AS AVAILABLE" without any express or implied warranties, including warranties of fitness for a particular purpose, non-infringement, or continuity.

Maximum Liability:

The maximum liability of FES HealthTech towards you in any dispute is equal to the amounts you paid for the app during the twelve months preceding the dispute, and it cannot exceed this limit under any circumstances.

The Company is Not Liable For:

• Indirect, incidental, or consequential damages, regardless of their cause
• Loss of profits or revenues resulting from app downtime
• Loss of data resulting from user negligence, failure to retain device keys, or lack of backups
• Loss of patient data or clinical records generated and stored locally on your device, should the device be lost, damaged, stolen, formatted, corrupted, uninstalled, or destroyed. Murshid operates on a strict Zero-Knowledge, local-first architecture: patient clinical records are NEVER transmitted, backed up, or synchronized to FES HealthTech cloud servers under any circumstances. You bear sole and exclusive legal, technical, and regulatory responsibility for generating encrypted local backups or maintaining independent backups via your personal Google Drive account.
• Damages resulting from the interruption of third-party services mentioned in Section 8
• Erroneous clinical or accounting decisions made by the user based on calculations or OCR readings without independent review
• Any unauthorized access, loss, interception, or exposure of patient data during manual transmission of encrypted files from the patient's browser to your device via third-party communication channels (e.g., WhatsApp, Email).

Force Majeure

FES HealthTech is not responsible for any delay or failure to perform its obligations caused by exceptional circumstances beyond reasonable control, including: general outages of global cloud server infrastructure, international cable network failures, natural disasters, emergency sovereign or governmental decisions, and outages of global store services.

General User Indemnification

You agree to defend, indemnify, and hold harmless FES HealthTech, its founders, officers, directors, contractors, licensors, and affiliates from and against any and all claims, liabilities, damages, losses, costs, penalties, or expenses (including reasonable attorneys' fees and legal disbursements) arising out of or related to: (i) your access to or use of the App, Web Portals, or Services; (ii) your violation of these Terms or any applicable laws or regulations; (iii) any breach of patient confidentiality or data privacy obligations by you; (iv) any clinical diagnosis, diet plan, or advice you provide; or (v) your infringement or misappropriation of any third-party intellectual property or proprietary rights.

11 Public Specialist Bio-Sites, Digital Clinics & User-Generated Content (UGC)

The Murshid platform provides registered specialists the technical functionality to create, customize, and publish an independent public web page / digital clinic profile (hereafter referred to as "Specialist Bio-Site" or "Public Site"), accessible on the web under dedicated subpaths (such as https://murshid.feshealthtech.com/p/:slug).

Independent Professional Status and Exclusive Content Liability

By publishing a Specialist Bio-Site, you represent, warrant, and covenant that:

• Exclusive Content Ownership & Liability: You assume sole and exclusive legal, ethical, and clinical liability for all content, information, claims, consultation packages, pricing, contact details, working hours, and testimonials published on your Bio-Site.
• Professional Truthfulness & Integrity: All descriptions of services, prices, professional titles, and client results must be accurate, truthful, and non-deceptive. You are solely responsible for fulfilling all scheduled appointments, consultations, and commitments made to prospective clients.

Neutral Technical Hosting and Intermediary Liability Disclaimer

FES HealthTech and the Murshid platform operate strictly as a neutral technology infrastructure provider, intermediary host, and conduit for specialist-published content. In accordance with applicable electronic commerce, intermediary liability limitations, and hosting regulations:

• FES HealthTech does not curate, prescreen, endorse, or verify the professional advice, clinical protocols, or marketing statements published by specialists on their individual Bio-Sites.
• The publication or hosting of a Specialist Bio-Site on murshid.feshealthtech.com does NOT constitute an endorsement, official certification, verification, or guarantee by FES HealthTech regarding the specialist's clinical competence, diagnosis, or professional integrity.
• FES HealthTech disclaims any and all liability for disputes, damages, clinical outcomes, financial transactions, or claims arising between specialists and visitors or clients who contact or engage them through their public Bio-Site.

Healthcare Advertising Regulations & Regulatory Compliance

Specialists publishing a Bio-Site or digital clinic warrant and covenant that all published marketing materials, consultation descriptions, and pricing strictly comply with the health advertising regulations, Ministry of Health (MOH) guidelines, and statutory consumer protection rules applicable in their practicing jurisdiction. Specialists shall not publish false, misleading, or sensationalist medical claims, make unsubstantiated therapeutic promises, or advertise unauthorized medical treatments or pharmaceuticals. Any licensing numbers, facility credentials, or registration identifiers displayed must be genuine, current, and issued by authorized governmental health councils.

Financial and Commercial Transactions Disclaimer

Murshid is strictly a clinical and administrative practice management toolkit. The platform does NOT process, broker, collect, or hold client consultation payments on behalf of specialists. Any financial transactions, fee negotiations, bank transfers, or payment links exchanged between specialists and their clients (via WhatsApp, direct telephone, email, or third-party links) take place entirely outside the Murshid platform. FES HealthTech bears zero commercial, financial, or tax responsibility for any external financial agreements or unpaid transactions.

Prohibited Bio-Site Content and Conduct

Specialists are strictly prohibited from utilizing Bio-Sites to publish, link to, or promote:

• Unsubstantiated, miraculous, deceptive, or dangerous medical, pharmacological, or clinical claims that violate established health regulations or consumer protection standards.
• Sale, advertisement, or promotion of prescription-only drugs, controlled substances, unregulated hormones, or illegal chemical products.
• Usurpation of protected trade names, unregistered brand impersonation, or copyright/trademark infringement of third-party identities.
• Defamatory, fraudulent, deceptive, sexually explicit, abusive, or harmful material.
• Any content that violates Google Play Developer Policies (particularly Health & Medical Apps and User-Generated Content Policies) or Apple App Store Review Guidelines.

Patient Testimonials & Social Proof Warranty

If you choose to display client testimonials, transformation reviews, ratings, or client endorsements on your Bio-Site, you represent and warrant that: (i) each testimonial represents a genuine, unmanipulated experience of an actual client treated within your professional practice; (ii) you have obtained prior, explicit, written, and revocable consent from each client to publish their remarks, name, or before/after metrics, fully complying with applicable patient privacy laws; and (iii) no testimonials contain exaggerated, fabricated, or mathematically impossible nutritional or weight loss promises. FES HealthTech reserves the right to immediately remove or suppress any testimonial lacking demonstrable verification.

Non-Emergency Communication Channel

Specialist Bio-Sites, contact buttons, WhatsApp redirect links, and appointment inquiry forms are intended exclusively for routine, scheduled consultations and general inquiries. They are NOT emergency communication channels. Specialists must display appropriate clinical disclaimers instructing patients to seek emergency care in acute situations.

12 Abuse Reporting, Content Moderation, and Site Suspension

To preserve digital integrity, safeguard patient safety, and comply with statutory notice-and-takedown standards, Murshid maintains active content moderation and abuse reporting procedures.

Abuse & Infringement Reporting Procedure

Each published Bio-Site features a standardized reporting mechanism allowing visitors, patients, rights holders, or regulatory authorities to submit formal notices regarding copyright infringement, misleading medical claims, professional impersonation, or violations of law. Inquiries and formal notices may also be submitted directly to legal@feshealthtech.com.

Formal Notice Requirements (DMCA & DSA Standards)

To be legally actionable, any formal infringement or abuse notice sent to FES HealthTech must include: (i) clear identification of the copyrighted work, trademark, or legal right claimed to have been violated; (ii) the exact URL, slug, or identifier on murshid.feshealthtech.com where the alleged infringing material is hosted; (iii) the claimant's full legal name, professional title, physical address, telephone number, and email address; (iv) an explicit statement of good-faith belief that the disputed use is unauthorized by the rightsholder, its agent, or the law; and (v) an unequivocal statement under penalty of perjury that the information in the notification is accurate and that the notifying party is authorized to act on behalf of the owner of the infringed right.

Notice-and-Takedown & Administrative Suspension Authority

FES HealthTech reserves the right, exercised reasonably and in good faith or pursuant to official notices, to:

• Expedited Page Suspension: Temporarily unpublish, restrict access to, or suspend any Specialist Bio-Site upon receipt of credible infringement claims, regulatory inquiries, consumer deception complaints, or material breaches of these Terms.
• Administrative Review Lock: While a Bio-Site is undergoing administrative review or compliance investigation, republication or modification of the affected URL shall remain restricted until resolving the underlying grievance.
• Identifier & Slug Reclamation: Reclaim, reassign, or revoke any public URL slug or handle (e.g., /p/:slug) that infringes upon registered trademarks, mimics official government health bodies, or contains deceptive or reserved naming conventions.
• Regulatory & Legal Compliance: Fully cooperate with competent judicial bodies, healthcare regulators, and authorized law enforcement entities in accordance with lawful legal process and statutory requirements.

Murshid provides an official, public-facing document and specialist credential verification infrastructure accessible at https://murshid.feshealthtech.com/verify/ (the "Verification Portal").

Cryptographic Integrity & Digital Seal

Clinical meal plans, assessment reports, and official certificates issued via Murshid may incorporate cryptographic verification payloads, including Ed25519 digital signatures, tamper-evident document hashes, and unique verification tokens. The Verification Portal allows patients, clinical partners, and healthcare entities to independently confirm:

• The authentic cryptographic origin of the document generated within the authorized Murshid environment.
• Document integrity, confirming that the digital contents have not been modified, altered, or tampered with subsequent to issuance.
• The active licensure, specialty status, and authorized credential standing of the issuing healthcare professional.

Specialist Warranties and Prohibited Misrepresentation

Specialists issuing verified documents represent and warrant that all clinical assessments, nutritional plans, and certifications bearing their digital verification seal are authentic records generated within their authorized scope of clinical competence. Any attempt to forge digital signatures, generate deceptive verification tokens, manipulate document hashes, or represent expired, suspended, or unauthorized credentials constitutes a criminal fraud attempt, resulting in immediate account termination, revocation of all cryptographic keys, and reporting to relevant statutory authorities.

Verification Portal Disclaimer

The Verification Portal operates solely as a technological authenticity validator. It validates that a document was cryptographically signed by an identified specialist at a specific timestamp. The Verification Portal does NOT review, evaluate, or endorse the medical soundness, diagnostic accuracy, or clinical efficacy of the underlying advice or nutritional prescription. Patients and third parties must rely on direct consultation with qualified healthcare professionals for all clinical decisions.

Credential Revocation & Verification Invalidation Authority

FES HealthTech reserves the absolute administrative right to immediately invalidate, revoke, or display a "Revoked" or "Suspended" public alert on any verification record or specialist ID card if: (i) the specialist's medical or professional license has expired, been suspended, or revoked by statutory health authorities; (ii) credible evidence of document fabrication, altered lab numbers, or signature spoofing is detected; or (iii) the specialist's account is suspended or terminated for violating these Terms. FES HealthTech bears zero liability to the specialist for public displays of legitimate revocation status pursuant to compliance auditing.

14 General Provisions, Governing Law & International Dispute Resolution

Informal Dispute Resolution Period

Prior to initiating any formal legal or arbitral proceedings, you and FES HealthTech agree to attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms, the App, or the Services informally. The aggrieved party shall send a formal written notice detailing the dispute to legal@feshealthtech.com (for notices to FES HealthTech) or to your registered account email (for notices to you). Both parties agree to engage in good-faith negotiations for a minimum period of thirty (30) calendar days from the date of receipt of the notice.

Binding International Commercial Arbitration (ODR)

If the dispute is not resolved through informal negotiations within the 30-day period, the dispute, controversy, or claim shall be referred to and finally resolved by binding international commercial arbitration administered under the Arbitration Rules of the United Nations Commission on International Trade Law (UNCITRAL) or a recognized international online commercial dispute resolution (ODR) provider agreed upon by the parties. The arbitration shall be conducted entirely online and remotely via secure electronic communications and video conferencing, in the English language, before a single neutral arbitrator appointed in accordance with the applicable rules. The arbitral award shall be final, binding, and confidential upon both parties, and judgment on the award may be entered and enforced in any court of competent jurisdiction worldwide.

Class Action and Collective Relief Waiver

YOU AND FES HEALTHTECH AGREE THAT ALL CLAIMS, DISPUTES, AND CONTROVERSIES MUST BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Modification of Terms

FES HealthTech reserves the right to amend, update, or modify these Terms at any time. When material amendments are introduced, we will provide at least thirty (30) days' advance notice through an in-app announcement, email notification, or prominent notice on our website. Your continued access to or use of the App following the effective date of the revised Terms constitutes your irrevocable agreement to be bound by the updated terms.

Official Legal Notices and Electronic Communications

All legal, statutory, or regulatory notices directed to FES HealthTech must be submitted in writing via electronic mail to: legal@feshealthtech.com. Notices directed to you shall be transmitted electronically to the primary email address linked to your account profile. Electronic notices shall be deemed received twenty-four (24) hours after transmission.

Severability, Waiver & Entire Agreement

If any provision of these Terms is determined by an arbitral tribunal or court of competent jurisdiction to be invalid, unlawful, or unenforceable, such provision shall be enforced to the maximum extent permissible so as to give effect to the intent of the parties, and the remaining provisions of these Terms shall continue in full force and effect. No failure or delay by FES HealthTech to enforce any right or provision hereof shall operate as a waiver of such right. These Terms, together with our Privacy Policy and Refund Policy, constitute the complete and exclusive agreement between the parties concerning the subject matter hereof, superseding all prior oral or written agreements.

Electronic Contracting & E-Sign Consent

You acknowledge and agree that your electronic assent to these Terms (such as clicking "I Agree", downloading, or using the App) constitutes an electronic signature having the identical legal effect, validity, and enforceability as a handwritten signature pursuant to the UNCITRAL Model Law on Electronic Commerce, the United States Electronic Signatures in Global and National Commerce Act (ESIGN), and international electronic transactions statutes. You consent to receiving all agreements, notices, and disclosures electronically.

Governing Language & Prevailing Version

These Terms of Use are prepared and executed in the English language. In the event of any conflict, divergence, ambiguity, or discrepancy between the English text of these Terms and any translation into Arabic or any other language, the English language version shall govern, control, and prevail in all respects before any arbitral tribunal or judicial court worldwide.
